MEMILY TERMS OF SERVICE
These Terms of Service (“Terms”) govern your access to and use of the Memily website, applications, and services (collectively, the “Services”), operated by Memily, Inc. (“Memily,” “we,” “us,” or “our”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.
1. PURPOSE OF MEMILY
Memily is a family-centered intelligence layer designed to help parents and families intentionally capture, preserve, and pass down stories, guidance, values, and lived experiences across generations (“Memily Content”).
Memily supports reflection, memory, and continuity of family values. It does not provide medical, mental health, legal, financial, or professional advice.
2. ELIGIBILITY & ACCOUNT CREATION
2.1 Age Requirements
- You must be at least 18 years old to create an account.
- Children under 13 may not create accounts.
- Parents or legal guardians may create and manage content about or for the benefit of children, subject to parental consent requirements described below.
2.2 Account Responsibility
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activity conducted through your account
- Ensuring invited contributors comply with these Terms
3. USER-GENERATED CONTENT & FAMILY CONTRIBUTIONS
3.1 Ownership
You retain ownership of all content you submit, upload, or record on Memily (“User Content”).
3.2 License to Operate the Services
By submitting User Content, you grant Memily a limited, non-exclusive, royalty-free, revocable license to host, store, process, analyze, and display such content solely for the purpose of operating and improving the Services.
Memily does not claim ownership over your family stories or values.
3.3 Family & Mentor Invitations
You may invite extended family members or mentors to contribute content. You represent that:
- They have the right to share the content they submit
- They understand content is governed by family-level permissions
4. CHILDREN’S CONTENT & PARENTAL CONSENT (COPPA)
4.1 No Independent Child Accounts
Memily does not knowingly permit children under 13 to independently create accounts.
Children are passive beneficiaries of content created and managed by a parent or legal guardian.
4.2 Verifiable Parental Consent
By submitting content related to a child, you represent that:
- You are the child’s parent or legal guardian, or
- You have lawful authority to provide consent on the child’s behalf
Where required by law, Memily may request additional verification to confirm parental consent.
4.3 Use of Child-Related Data
Child-related content is used only to:
- Preserve family narratives and guidance
- Organize and present content within the family system
- Enable future access as determined by the parent or guardian
Memily does not:
- Sell child data
- Advertise to children
- Allow third-party marketing to children
- Use child data to train public or external AI models
4.4 Parental Rights
Parents may:
- Review, modify, or delete child-related content
- Control access timing and visibility
- Revoke consent at any time

5. AI-ASSISTED FEATURES & VALUES-BASED INTELLIGENCE
5.1 Purpose of AI
Memily uses AI as a supportive intelligence layer to:
- Identify themes, values, and narrative patterns
- Preserve a parent’s voice, tone, and lived experience
- Organize guidance meaningfully across time
AI exists to amplify intentional human values, not replace human judgment.
5.2 Values-Based Design Principles
Memily’s AI systems operate under the following principles:
- Family Sovereignty: Values are defined by families, not Memily
- Human-in-the-Loop: Parents retain final interpretive authority
- Non-Manipulation: No persuasion, optimization, or behavioral nudging
- Continuity Over Control: AI preserves legacy, not decision-making
- Belief Neutrality: No imposed moral, political, or cultural ideology
5.3 AI Limitations
You acknowledge that:
- AI outputs are probabilistic and may contain errors
- AI summaries or reflections may be incomplete
- AI does not replace professional advice
- All AI-assisted outputs should be reviewed by users
5.4 No Automated Decision-Making
Memily does not make autonomous decisions about children, families, or users.
6. DATA BOUNDARIES & AI TRAINING CONTROLS
- Private family content is not shared across families
- Private content is not used to train public or third-party AI models
- AI learning is scoped to a family system unless explicit opt-in is provided
- Aggregated, de-identified data may be used to improve system performance
7. PROHIBITED USES
You may not:
- Upload unlawful, abusive, or harmful content
- Infringe privacy or intellectual property rights
- Attempt to reverse engineer AI systems
- Use Memily for surveillance, profiling, or manipulation
- Misrepresent authority within a family system
8. DATA RETENTION & DELETION
You may request deletion of your account at any time. Certain data may be retained:
- To comply with legal obligations
- For security and audit purposes
- In anonymized or aggregated form
9. TERMINATION
Memily may suspend or terminate access for violations of these Terms or applicable law. Content handling upon termination will follow user preferences and legal requirements.
10. DISCLAIMERS & LIMITATION OF LIABILITY
THE SERVICES ARE PROVIDED “AS IS.”
MEMILY DISCLAIMS ALL WARRANTIES TO THE FULLEST EXTENT PERMITTED BY LAW.
Memily is not liable for indirect, incidental, consequential, or emotional damages arising from use of the Services.
11. GOVERNING LAW
These Terms are governed by the laws of the State of [Insert State], without regard to conflict-of-law principles.
